Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the ApexOS Cloud Connect service, the Oasis customer portal, and related software and websites (together, the “Service”) operated by AII IoTech (India) Private Limited, doing business as APEX (“Apex”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility & accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the information you provide, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorised use. You may sign in with an email and password, a passkey, or a third-party single sign-on provider (such as Google, Microsoft, or Apple); you are responsible for the security of whichever method you choose.
2. The Service
ApexOS Cloud Connect provides secure remote access and cloud connectivity for smart-home devices and systems that you own and operate. The Service relays and secures connections between your devices and the clients you authorise (including voice assistants you choose to link). We may add, change, or remove features over time. The Service does not include the devices themselves, your local network, or your internet connection, all of which remain your responsibility.
3. Subscriptions, billing & renewal
Paid features are offered on a subscription basis. Fees, billing intervals, and any free-trial terms are shown at checkout. Payments are processed by our third-party payment provider (Razorpay); by subscribing you also agree to that provider’s terms. Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your account; access continues until the end of the current paid period. Except where required by law, fees already paid are non-refundable.
4. Acceptable use
You agree not to, and not to permit others to:
- use the Service in violation of any applicable law or regulation;
- interfere with, disrupt, or attempt to gain unauthorised access to the Service, other accounts, or the networks or systems connected to it;
- reverse engineer, resell, or abuse the Service beyond what these Terms permit;
- use the Service to harm, harass, or infringe the rights of others.
5. Your devices & data
You retain ownership of your devices and the data they generate. You grant us the limited rights necessary to operate the Service — for example, to relay, process, and store connection data so the Service can function. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
6. Third-party integrations
The Service can link to third-party platforms you choose, such as Google Home or Amazon Alexa. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for third-party services, and linking or unlinking them is at your discretion.
7. Intellectual property
The Service, including its software, trademarks, and content, is owned by Apex or its licensors and is protected by law. These Terms do not transfer any of those rights to you beyond the limited right to use the Service as permitted here.
8. Suspension & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or where we reasonably believe it is necessary to protect the Service or other users. On termination, your right to use the Service ends; certain provisions (such as those on intellectual property, disclaimers, and liability) survive.
9. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. You are responsible for maintaining appropriate safeguards for any critical or safety-related use of connected devices.
10. Limitation of liability
To the maximum extent permitted by law, Apex will not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, profits, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Apex from claims, damages, and expenses arising out of your use of the Service or your breach of these Terms, to the extent permitted by law.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of India, and the courts at the registered office location of AII IoTech (India) Private Limited will have jurisdiction, subject to any mandatory consumer-protection rights you have under applicable law.
